Easypromos

• Easypromos only uses the user information to grant the correct operation of the application. Easypromos does not and will not use any information that users provide when entering the promotions for any other purpose.
• Easypromos does not take responsibility for the prizes, products or services that are offered to users as part of the promotions.
• Easypromos does not participate in the process of selecting the winners, nor does it offer an online or offline platform for the selection of prize or promotion winners.
• Easypromos reserves the right to remove and delete a promotion at any moment without giving prior warning to the promotion administrator.
• Easypromos will not refund the cost of a promotion once the payment has been made.
• The promotion administrator is the administrator of the Facebook page for which the promotion is being created and uses Easypromos to create and manage said promotion.
• The promotion administrator is responsible for adhering to the Facebook Promotions Guidelines.
• The promotion administrator is responsible for the content of the promotion.
• The promotion administrator is responsible for all the information added by users who enter the promotion.
• The administrator should indicate how the users’ information will be used in the promotion’s own “conditions of use”.
• The administrator is responsible for selecting and notifying winners, and for awarding the prizes, products or services that are offered in the promotion.

1. WHAT IS THIS DOCUMENT?

1.1. This text is the AGREEMENT which governs the relationship between EASYPROMOS (EASYPROMOS, S.L., with tax ID no. B-65576878 and legal address at Pi i Maragall 7, bajos 2ª - Barcelona 08024, registered in the Registry of Commerce of Barcelona volume 42607, sheet 68, page B 411440) and YOU (the CLIENT) upon activating promotions with our EASYPROMOS applications whether on our website (www.easypromosapp.com) or on Facebook.

1.2. Please read this document carefully. Here you will find the terms and conditions that regulate the activation of promotions and contests with an EASYPROMOS application, the rights and obligations of both parties, information on the purchasing procedure and the terms of use for the application on Facebook, among other matters.

1.3. These Terms and Conditions adhere to stipulations in the applicable law regarding this matter.

2. ACCEPTANCE AND VALIDITY OF TERMS AND CONDITIONS.

2.1. Both parties must comply with these Terms and Conditions. By contracting an EASYPROMOS application, the CLIENT is bound to each and every one of these Terms and Conditions with no exceptions, being it the user’s obligation and responsibility to read them prior to agreement.

2.2. As a part of the order procedure and prior to payment authorisation, the CLIENT must accept the Terms and Conditions. If you do not agree with the terms and conditions, you must not continue the contract process given that these terms and conditions will apply to you in any case.

2.3. This agreement binds the CLIENT and is valid during the entire duration the promotion is active, notwithstanding the responsibilities the CLIENT may incur by using the application.

3. OUR PRODUCT: EASYPROMOS APPLICATIONS FOR FACEBOOK.

3.1. By activating a promotion or contest with an EASYPROMOS application, the CLIENT acquires only a license or the right to temporarily use the application to create and manage promotions and contests from their Facebook page. The CLIENT does not receive ownership rights over the application or any content provided for such, as they belong to and remain under the full power of EASYPROMOS in their entirety.

3.2. Versions of the EASYPROMOS product:

3.2. a) EASYPROMOS BASIC application: the right to use the application to create and manage within the setting/platform of Facebook a (1) single promotion that will remain active during the time period defined by the CLIENT.

3.2. b) EASYPROMOS PREMIUM application: the right to use the application to create and manage within the setting/platform of Facebook a (1) single promotion that will remain active during the time period defined by the CLIENT.

3.3. c) EASYPROMOS OWN BRAND application: if you are interested in the OWN BRAND application, please contact us beforehand.

3.4. Each promotion created with any of the EASYPROMOS applications is linked to only one Facebook page.

4. PRICE.

4.1. EASYPROMOS BASIC application: The first activation of an EASYPROMOS BASIC application is free of charge. The price for the second and subsequent user licenses for the EASYPROMOS BASIC application is $15 including tax. There are no additional delivery or installation charges.

4.2. EASYPROMOS PREMIUM application: Activating an EASYPROMOS PREMIUM application always requires payment. The price for a user license for the EASYPROMOS PREMIUM application is $100 including tax. There are no additional delivery or installation charges.

5. ACTIVATING THE PROMOTION

The promotion or contest will be activated only once the CLIENT has made payment of the amount corresponding to the selected user license. Once the payment of the amount is verified, the application chosen will be activated and the CLIENT's promotion will be published immediately.

6. PROCEDURE FOR OBTAINING A CLIENT LICENSE FOR THE EASYPROMOS APPLICATION.

6.1. To activate a promotion or contest with our EASYPROMOS OWN BRAND application, the CLIENT must contact us beforehand.

6.2. To activate a promotion or contest with EASYPROMOS BASIC or PREMIUM, the CLIENT must follow the procedures explained below:

1. The CLIENT must previously install EASYPROMOS in their Facebook page (if not already installed).

2. Go to the Promotion Administration Panel (located in Facebook).

3. Create the promotion or contest:

• a) To create a promotion or contest, define the characteristics and information for the promotion or contest you want to create by filling out the form provided.
• b) Next you will be asked to confirm and accept the EASYPROMOS Terms and Conditions and Privacy Policy. A window will appear from which you can access, read, save and/or print the complete text of the Terms and Conditions and Privacy Policy. If you agree, check the corresponding box to accept. Remember that by clicking on this button, you accept the Terms and Conditions and the Privacy Policy and are bound by them.

4. Once you’ve created the promotion or contest, it will be saved in the "Drafts" tab in the Promotion Administration Panel. From there, you can modify it at any time and however many times you need until the moment of activation.

5. Activating the promotion or contest:

• a) In order to publish the promotion or contest on your Facebook page, you have to activate it. To activate the promotion, you must make the corresponding payment via the payment gateway which you can access from the Activation Screen.
• b) Remember that the first activation of a promotion with the EASYPROMOS BASIC application is free of charge. If this is your first time using the service, a notification will appear in the upper part of the screen indicating this possibility. Click on it to activate your first promotion.

6. If there is an error with your personal information or the information of the promotion you provided, the system will prevent you from continuing and a notification will appear on the form indicating the errors that need to be corrected.

7. Payment procedure and methods of payment:

• a) All payments for the EASYPROMOS BASIC and PREMIUM applications are made via PayPal.
• b) EASYPROMOS does not have access to the USER’s bank information. This data is exclusively managed by PayPal.
• c) Once PayPal notifies EASYPROMOS of the payment, the promotion will automatically be activated and moved from the "Drafts" tab to the "Active" tab, which is located in the Promotion Administration Panel.

8. Confirmation of completion of payment procedure:

• a) Once the payment is completed, PayPal will send the CLIENT a confirmation email notifying the CLIENT that the payment has been completed. You will receive this email at the email address you provided PayPal with.
• b) If you want to save the confirmation of a promotion activation, remember you must go back to the EASYPROMOS application after making the payment. From there you can print or save the confirmation page and check to see if your promotion is activated in the "Active" tab in the Promotion Administration Panel.
• c) If you would like a bill for the payment, please send us an email at sales@easypromosapp.com.

7. RIGHT OF WITHDRAWAL, CANCELLATION OF THE LICENSE AND AGREEMENT TERMINATION.

7.1. ABSENCE OF THE RIGHT OF WITHDRAWAL: User licenses for EASYPROMOS applications are based on virtual files delivered electronically and are therefore susceptible to immediate use. Thus, in accordance with the applicable law, once the application has been purchased, the CLIENT can not withdraw the purchase or request that the amount paid be returned. In any case, remember that you have one (1) free user license enabling you to try out our service and activate a promotion with our EASYPROMOS BASIC application.

7.2. CANCELATION OF THE LICENSE AND TERMINATION OF THE AGREEMENT BY THE CLIENT: The CLIENT may cancel this license agreement and deactivate the application at any time. In order to do this, the CLIENT must send a cancellation request to the email address sales@easypromosapp.com. EASYPROMOS will not, in any case, reimburse the amounts paid by the CLIENT.

7.3. CANCELATION OF THE LICENSE AND TERMINATION OF THE AGREEMENT BY EASYPROMOS:

• a) EASYPROMOS may terminate this license agreement and cancel and deactivate the promotion without giving prior notification to the CLIENT if the company receives a notification of misuse from Facebook or a competent authority. In this case, the CLIENT does not have the right to demand payments be returned or any type of compensation for any personal or third party damages, loss of profits or any other cause.
• b) EASYPROMOS may also terminate this license agreement and cancel and deactivate the application without giving prior notification to the CLIENT if Facebook modifies their promotion and/or application policy, rendering the use of the application purchased by the user unviable due to legal, technical or any other reasons that do not depend on EASYPROMOS. In this case the CLIENT does not have the right to demand payments be returned or any type of compensation for any personal or third party damages, loss of profits or any other cause.

7.4. Terminating this agreement will also terminate all maintenance, execution or instalment obligations that are the responsibility of EASYPROMOS in relation to the application.

8. INDUSTRIAL AND INTELLECTUAL PROPERTY RIGHTS.

The CLIENT expressly acknowledges that all copyright, trademark and other intellectual or industrial property rights over the application or contents forming part of the application belong to EASYPROMOS at all times or to the body that granted EASYPROMOS its license for use. The CLIENT may not use this material unless EASYPROMOS expressly gives their authorisation.

9. AGREEMENTS AND GUARENTEES.

9.1. EASYPROMOS agrees to:

• a) Ensure that their applications strictly adhere to Facebook application and promotion policies.
• b) Not participate in drawings or interfere or influence in any way the development of promotions and the selection of participants and winners.

9.2. The CLIENT acknowledges, agrees to and accepts that:

• a) The application is a standard software that has not been created to meet personal specifications of the CLIENT.
• b) It is not possible to execute the application without running into errors in some circumstances; therefore, the application may experience errors or even deactivation due to modifications or technical events in the Facebook development platform.

10. RESPONSIBILITIES.

10.1. EASYPROMOS denies any responsibility for information or content not directly managed by them.

10.2. In particular, EASYPROMOS is exonerated from all responsibility for content that the CLIENT creates, circulates, develops and manages with EASYPROMOS applications as well as the use that the CLIENT or third parties make of this content or the EASYPROMOS application. Included but not limited to, EASYPROMOS shall not, in any case, be held responsible for:

• a) The quality or conformity of products, services or prizes offered by the CLIENT through the application.
• b) Compliance with promotion offers and conditions.
• c) The legality and/or truthfulness of advertisements, information, conditions and all other content published by the CLIENT or third parties, whether directly or through links.
• d) The infringement of third party rights or any other infringements originating from the content that the CLIENT includes in the application or other uses the CLIENT may make of the application.
• e) The infringement of third party rights or any other infringements originating from the conduct, actions or content of the users of the promotions/contests that the CLIENT creates and/or manages with an EASYPROMOS application.
• f) Unlawful civil, criminal or administrative acts or any other responsibility for infringements or unlawful civil acts not originating from the fraudulent conduct of EASYPROMOS.

10.3. The CLIENT assumes all responsibility originating from information and content incorporated into the use of the application and from the use of the application itself and the compliance of promotion and contest content. The CLIENT must ensure that the conditions and terms of such comply with Facebook promotion policies and with the applicable law in their country and/or territory affected by the aforementioned promotions or contests.

10.4. With regards to the CLIENT and third parties, EASYPROMOS is exonerated from responsibility over application problems stemming from errors, malfunctions or any other technical incidents in Facebook or the Facebook application platform.

10.5. EASYPROMOS shall not be held responsible for the interruption of or problems in the operation of the application due to modifications or changes made unilaterally by Facebook to the software, platform or conditions and operation policies of the social network and the applications and promotions contained within.

10.6. EASYPROMOS shall not be held responsible for the interruption of or problems in the operation of the application due to an excess of server resources, viruses, malicious programs, breakdowns or any other technical problem that does not directly depend on EASYPROMOS.

10.7. In no case shall EASYPROMOS be held responsible for noncompliance of conditions in this agreement if this noncompliance is due to a Force Majeure event or situations out of their control.

10.8. EASYPROMOS shall not, in any case, be held responsible for the suitability or success of the application to achieve the objective pursued by the CLIENT to such an extent that EASYPROMOS shall not be held responsible for the aforementioned objective or success regardless of whether or not they were notified of that objective.

10.9. For the Multibrand Liking feature, the CLIENT can only use Facebook pages owned by herself in order to comply with Facebook Policy Platform IV.6.C. Easypromos will remove any promotion that violates this point.

11. PRIVACY POLICY

11.1. According to the Law 15/1999 on Personal Data Protection Act (LOPD), we inform you that the personal data of Users using the promotion will be incorporated into a computerized database for the sole purpose to grant the correct operation of the application.

11.2. EASYPROMOS NEVER uses this information for any other purpose.

11.3. EASYPROMOS will act as the entity in charge of managing these data from your users.

12. COMMUNICATION, SUPPORT AND ASSISTANCE.

EASYPROMOS makes available to the CLIENT a communication, support and assistance service to solve any questions about the operation of the application via email sales@easypromosapp.com.

13. MODIFICATIONS OF THE APPLICATION.

EASYPROMOS reserves the right to make improvements, replacements or modifications to the application or to the application code at any time in order to adapt the product to changes in the Facebook application platform or to incorporate improvements to product functions.

14. INTEGRITY OF AGREEMENT.

If one of the articles in this agreement becomes null and void, it is therefore considered to be nonexistent, and the parties would remain bound in full force to the rest of the agreement.

15. APPLICABLE LAW AND COMPETENT JURISDICTION.

For all questions, conflicts and disputes that may arise concerning the validity, interpretation, compliance and/or execution of these Terms and Conditions and the relationship between the parties, the parties expressly submit themselves to Spanish law and the authority of the Courts of Barcelona, and thus expressly exclude other laws or jurisdictions applicable to them unless otherwise determined by Law.
